Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of Nalo Social, a product of Nalo Seed ("we," "us," "our"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use Nalo Social.

"You" refers to any organizer or user of the platform. "Attendees" are end users who check in to events hosted through Nalo Social; attendees are subject to the organizer's own terms and our Privacy Policy.

2. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at grow@naloseed.com if you suspect unauthorized access.

You must be at least 18 years old to create an organizer account. Accounts may not be transferred without our written consent.

3. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of these Terms.
• Collect or harvest data from the platform without written permission.
• Interfere with or disrupt the service or its infrastructure.
• Impersonate another person or organization.
• Send unsolicited messages or spam through the platform.
• Use the platform to transmit harmful, offensive, or infringing content.
• Attempt to reverse engineer, decompile, or extract source code.
• Circumvent any security or access controls.

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

4. Plans and Billing

Nalo Social offers a free tier and paid subscription plans (Pro and Scale). Paid plans are billed monthly via Stripe. By subscribing to a paid plan, you authorize recurring charges to your payment method.

• Cancellation: You can cancel your subscription at any time from your billing dashboard. Cancellation takes effect at the end of the current billing period; you retain access until then.
• Refunds: We do not issue refunds for partial billing periods unless explicitly stated in a separate agreement or required by applicable law.
• Plan changes: Upgrades take effect immediately and are prorated. Downgrades take effect at the next billing date.
• Price changes: We will give you at least 30 days notice before changing the price of your active subscription.
• Failed payments: If a payment fails, we will retry and notify you. Accounts with prolonged failed payments may be suspended.

5. Organizer Responsibilities

As an organizer, you are the data controller for your attendees. You represent and warrant that:

• You have a lawful basis to collect and process attendee personal data (name, email, phone, etc.) at your events.
• You have informed attendees that their check-in data will be processed through Nalo Social.
• You have obtained explicit, documented opt-in consent from any attendee before sending SMS messages. SMS is subject to TCPA (US), CASL (Canada), and similar laws. You are solely responsible for compliance.
• The events you run on the platform are lawful and do not facilitate harassment, discrimination, or harm.
• You will promptly honor attendee requests to access, correct, or delete their personal data.

You indemnify us against claims, losses, and expenses arising from your failure to meet these responsibilities.

6. Intellectual Property

Nalo Social and all underlying technology, trademarks, and content are owned by Nalo Seed. These Terms do not transfer any ownership rights to you. You may use the service only as permitted by these Terms.

You retain ownership of any content you upload (logos, event copy, attendee data). By uploading it, you grant us a limited license to store and process it solely to operate the service.

7. Third-Party Services

The platform integrates with third-party services (Supabase, Stripe, Resend, Twilio, Vercel, Luma). Your use of those services is governed by their own terms. We are not responsible for their actions or data practices.

8. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that defects will be corrected.

9. Limitation of Liability

To the maximum extent permitted by law, Nalo Seed and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages. Our total liability for any claim arising from these terms or your use of the service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim or (b) $100.

10. Indemnification

You agree to defend, indemnify, and hold harmless Nalo Seed and its affiliates from any claims, damages, and expenses (including legal fees) arising from your use of the service, your events, or your violation of these Terms.

11. Termination

Either party may terminate the relationship at any time. You can delete your account from the dashboard settings. We may suspend or terminate your account if you breach these Terms, stop paying, or if we discontinue the service.

On termination: your data will be retained for 90 days (for recovery purposes) and then deleted. Sections 6, 8, 9, 10, and 12 survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes will be resolved exclusively in the state or federal courts located in Travis County, Texas. You consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new effective date and, for material changes, notify organizers by email at least 14 days in advance. Continued use after the effective date means acceptance.
